1. Contractual Relationship

These Terms of Service (“Terms”) govern your access to and use of the applications, websites, content, products, and services (collectively, the “Services”) provided by RivDrive (“RivDrive”, “we”, “our”, or “us”), including:

  • RivRide – the rider-facing mobile application; and

  • RivDriver – the driver-facing mobile application.

By accessing or using the Services, you enter into a legally binding agreement with RivDrive.
If you do not agree to these Terms, you must not access or use the Services.

These Terms expressly supersede any prior agreements or arrangements between you and RivDrive. RivDrive reserves the right to terminate these Terms or discontinue the Services at any time, with or without notice, for any reason permitted by law.

2. Nature of the Services

RivDrive operates a technology platform that enables users to arrange and schedule transportation services with independent third-party drivers (“Third-Party Providers”).

RivDrive does not provide transportation services and does not employ drivers. All transportation services are provided by independent Third-Party Providers who are not employees, agents, or representatives of RivDrive.

3. Modification of Terms

RivDrive may revise these Terms from time to time. Updated Terms will be effective upon posting. Your continued access to or use of the Services after such posting constitutes acceptance of the revised Terms.

Supplemental terms may apply to certain services, promotions, or features and shall form part of these Terms. In the event of a conflict, the supplemental terms shall prevail.

4. License Grant

Subject to your compliance with these Terms, RivDrive grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  1. Access and use the applications on your personal device solely for your personal, non-commercial use; and

  2. Access and use content made available through the Services.

All rights not expressly granted are reserved by RivDrive.

5. Restrictions

You agree that you will not:

  • Copy, modify, distribute, sell, or exploit any part of the Services

  • Reverse engineer or attempt to extract source code

  • Use the Services for unlawful purposes

  • Interfere with or disrupt the Services or servers

  • Attempt unauthorized access to systems or networks

  • Scrape, mine, or harvest data from the Services

Violation of these restrictions may result in immediate termination.

6. Ownership

The Services and all related intellectual property are and shall remain the exclusive property of RivDrive or its licensors.
Nothing in these Terms grants you any right to use RivDrive’s trademarks, logos, or branding.

7. User Accounts

To use most Services, you must create and maintain an active user account. You must:

  • Be at least 18 years old

  • Provide accurate and complete information

  • Maintain a valid payment method

  • Safeguard your account credentials

You are solely responsible for all activity conducted through your account. RivDrive is not liable for unauthorized access resulting from your failure to secure your credentials.

8. User Conduct

You agree to use the Services in compliance with all applicable laws and regulations. You must not:

  • Allow others to use your account

  • Request or provide services to minors without lawful supervision

  • Transport illegal, hazardous, or prohibited items

  • Engage in abusive, dangerous, or disruptive behavior

RivDrive reserves the right to suspend or terminate access for violations.

9. Promotional Codes

RivDrive may issue promotional or discount codes (“Promo Codes”) at its sole discretion. Promo Codes:

  • Have no cash value

  • Are non-transferable

  • May expire or be revoked at any time

  • Are subject to additional conditions

RivDrive reserves the right to withhold or deduct credits obtained through misuse.

10. User-Provided Content

You may submit content such as feedback or reviews (“User Content”). By doing so, you grant RivDrive a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, modify, distribute, and display such content in any media.

You represent that you own or have rights to all User Content submitted. RivDrive may remove User Content at its sole discretion.

11. Network Access and Devices

You are responsible for obtaining and maintaining the devices, software, and network access required to use the Services. RivDrive does not guarantee compatibility with all devices or uninterrupted availability.

12. Payments and Charges

Use of the Services may result in charges for transportation services provided by Third-Party Providers (“Charges”).

RivDrive acts solely as a limited payment collection agent on behalf of Third-Party Providers. Charges:

  • Are payable immediately

  • Are generally non-refundable

  • May vary based on demand, location, or promotions

You authorize RivDrive to charge your selected payment method. Cancellation fees may apply.

Tips to drivers are voluntary and not required.

13. Disclaimers

The Services are provided “as is” and “as available.”
RivDrive disclaims all warranties, express or implied, including fitness for a particular purpose and merchantability.

RivDrive does not guarantee the quality, safety, or legality of services provided by Third-Party Providers.

14. Limitation of Liability

To the maximum extent permitted by law, RivDrive shall not be liable for:

  • Personal injury, property damage, or losses

  • Indirect, incidental, punitive, or consequential damages

  • Acts or omissions of Third-Party Providers

RivDrive’s total liability shall not exceed the amount paid by you for the applicable service giving rise to the claim.

15. Indemnification

You agree to indemnify and hold RivDrive harmless from any claims, damages, liabilities, or expenses arising from:

  • Your use of the Services

  • Your violation of these Terms

  • Your interaction with Third-Party Providers

16. Termination

RivDrive may suspend or terminate your access at any time for any lawful reason, without notice. Upon termination, all licenses granted to you shall immediately cease.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which RivDrive is registered, without regard to conflict-of-law principles.

18. General Provisions

  • You may not assign these Terms without RivDrive’s consent

  • RivDrive may freely assign these Terms

  • No partnership or agency relationship is created

  • Invalid provisions shall not affect remaining terms

These Terms constitute the entire agreement between you and RivDrive.
